  • - Primeshot takes photos at events and delivers your photos to you by text.
  • - To subscribe, you must be 18 or older. If your kids are in photos, you subscribe as the parent or guardian and consent on their behalf.
  • - To find you in the photos, we match your face using a selfie you provide. This is optional, it is used only to match you to your photos, and you can delete it anytime.
  • - We never enroll a child's face. Children are matched only through a subscribing parent or guardian.
  • - We do not sell your data. At brand or sponsor events, if you give us your email or Instagram handle, we may share those with the event's brand and sponsors so they can reach out. At connection events, your handle may also be shared with other attendees.
  • - We never share your phone number, and we never sell it. It's used only to send you your photos.
  • - At events involving kids or families, we share none of this individually — sponsors get anonymized totals only.
  • - By attending an event where Primeshot is the photographer and by subscribing, you agree we may photograph you and deliver those photos through our platform.
  • - You can ask us to remove you or delete your data at any time, no questions asked.

1. Introduction

Welcome to Primeshot. These Terms of Service ("Terms") govern your access to and use of Primeshot's services, including our website, mobile applications, photo galleries, SMS delivery, and any related software or services (collectively, the "Services").

By subscribing to an event, providing your phone number or selfie, or otherwise using the Services, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. Please read them carefully. If you do not agree, do not use the Services.

2. Definitions

  • - "Primeshot," "we," "us," or "our" refers to primeshot, Inc.
  • - "User," "you," or "your" refers to any person using the Services.
  • - "Content" refers to photos, images, and related materials available through the Services.
  • - "Event" refers to any occasion where Primeshot's Services are used.
  • - "Event Organizer" refers to the entity hosting an Event and engaging Primeshot.
  • - "Minor" refers to any person under 18, or any person defined as a minor under the law of their jurisdiction.

3. Eligibility and Age Requirement

You must be at least 18 years old to subscribe to the Services, provide a phone number, provide a selfie, or create an account.

By subscribing, you represent and warrant that you are 18 or older.

If you are subscribing on behalf of your family, including any Minor children, you represent that you are the parent or legal guardian of those Minors and that you have the authority to consent on their behalf to being photographed and to having their photos delivered to you through the Services.

Minors may not subscribe, provide a selfie, provide a phone number, or create an account themselves, and we do not knowingly permit them to do so.

4. How Minors Are Handled

Primeshot is designed so that Minors are never independently enrolled in the Services:

  • - Only an adult (18+) may subscribe.
  • - We do not create face templates for, or perform facial recognition enrollment on, Minors. Our face-matching operates on the subscribing adult's selfie only.
  • - Photos in which a Minor appears alongside a subscribing parent or guardian may be delivered to that parent or guardian as part of their gallery, because the adult is the matched subscriber.
  • - Photos of a Minor in which no subscribing adult appears are not matched or delivered, and remain solely within the Event Organizer's collection subject to this agreement and applicable law.
  • - A parent or guardian may request removal of any photo of their Minor child at any time, and we will honor it promptly.

5. Consent to Be Photographed; Media and Likeness Release

Events using Primeshot generally take place in public or semi-public settings where photography occurs. By attending an Event where Primeshot or the Event Organizer's photographers are capturing images, and by subscribing to receive your photos, you acknowledge and agree that:

  • - You may be photographed at the Event.
  • - You grant Primeshot and the Event Organizer a non-exclusive, royalty-free license to capture, store, process, and deliver those photos through the Services for the purpose of providing you your photos and operating the Services.
  • - If you subscribe on behalf of your Minor children, you grant this same permission with respect to their photos, solely for the purpose of delivering those photos to you.

This release does not grant Primeshot, the Event Organizer, or any sponsor the right to use your image, or your child's image, in advertising or marketing without a separate signed release. We will not use your likeness or your child's likeness in promotional materials without your specific, separate written consent.

6. Biometric Data and Face Matching (Written Release)

This section serves as a written release regarding biometric data. Please read it carefully.

  • - What we collect: If you opt in, we collect a selfie photograph and derive from it a facial geometry template ("Biometric Data") used solely to match you to photos of yourself at an Event.
  • - Purpose: Your Biometric Data is used only to identify and deliver photos of you. It is not used for any other purpose.
  • - Retention schedule: We retain your selfie and associated Biometric Data for no longer than twelve (12) months following your most recent Event or subscription activity, after which it is permanently deleted, unless you request earlier deletion.
  • - Destruction: Upon your request, or upon expiration of the retention period above, your Biometric Data is permanently destroyed.
  • - No sale, no disclosure: We do not sell, lease, trade, or otherwise profit from your Biometric Data, and we do not disclose it to any third party except a service provider strictly necessary to operate the matching technology, under contract and only for that purpose.
  • - Consent: Providing a selfie is voluntary and optional. By opting in and providing a selfie, you consent to the collection, use, storage, and destruction of your Biometric Data as described here and in our Privacy Policy. You may withdraw consent and request deletion at any time by contacting us.
  • - No Minor enrollment: We do not collect Biometric Data from Minors.

7. SMS / Text Messaging Terms

When you provide your mobile phone number, you agree that Primeshot may send you text messages (SMS and MMS) to that number relating to your photos and the Event. You will receive a confirmation text and may need to reply as instructed to complete registration. Message frequency varies.

Primeshot will never charge you for text messages, though standard carrier rates may apply. Supported carriers include major U.S. and Canadian carriers. Neither Primeshot nor the carriers are liable for delayed or undelivered messages.

Marketing messages: If you separately opt in to receive membership or promotional messages from an Event Organizer, those messages are sent based on that separate opt-in, and you may opt out of them at any time by replying STOP.

8. Photo Rights and Usage

Photos taken at Events are owned by the Event Organizer and/or their designated photographers. By using the Services, you grant us permission to process and deliver photos as described in these Terms.

You receive a limited, non-exclusive, personal license to view, download, and share photos of yourself and, where applicable, of your Minor children in your care.

You agree not to copy, distribute, or misuse photos that do not feature you or your family. Event Organizers retain the right to remove any photo from the platform.

9. Payments and Downloads

Some Events offer photos free of charge, funded by the Event Organizer or a sponsor. Other Events may offer paid downloads.

Where paid downloads are offered, prices are shown before purchase. Payments are processed by a third-party payment processor, and by purchasing you agree to their terms. Except as required by law, purchases are non-refundable once the photo has been delivered in full resolution. If you believe you were charged in error, contact us and we will work with you in good faith to resolve it.

10. Sponsor and Brand Data

At Events hosted or sponsored by a brand, if you provide your email address or social media handle, you agree that Primeshot may share that email address and social handle with the Event's brand and sponsors, so they may reach out to you, follow up, or share offers related to the Event. At Events identified as connection or networking Events, your social handle may also be shared with other attendees.

Your phone number is protected. We never share your phone number with any brand, sponsor, Event Organizer, or attendee, and we never sell it. It is used only to deliver your photos and Service messages.

We also provide Event Organizers and sponsors with anonymized, aggregate analytics such as total impressions, reach, downloads, and shares.

Events involving minors: At any Event involving minors, including family or community Events, we do not share any individual attendee's email, social handle, or other contact information with brands, sponsors, or other attendees. Only anonymized, aggregate metrics are shared, and no information about minors is shared in any form.

You may opt out of email and social-handle sharing at any time by contacting privacy@primeshot.com.

11. Prohibited Uses

You agree not to:

  • - Use the Services if you are under 18.
  • - Attempt to access, match, download, or distribute photos of people other than yourself or Minors in your legal care.
  • - Use the Services to harass, stalk, or harm any person.
  • - Reverse-engineer, scrape, or interfere with the Services.
  • - Misrepresent your identity or your authority to consent on behalf of a Minor.

12. Removal and Deletion Rights

You may, at any time and for any reason:

  • - Request deletion of your selfie and Biometric Data.
  • - Request removal of any photo of you or your Minor children.
  • - Unsubscribe from text messages by replying STOP.

We will honor removal and deletion requests promptly. Contact: privacy@primeshot.com.

13. Event Organizer Responsibilities

Event Organizers are responsible for:

  • - Obtaining any permits or permissions required to hold the Event and to permit photography at it.
  • - Ensuring their photographers comply with our platform guidelines and these Terms.
  • - Providing accurate Event information and managing their own sponsor relationships.
  • - Not requesting or using attendee data in any manner inconsistent with these Terms or applicable law.

14. Assumption of Risk and Release of Claims

To the fullest extent permitted by law, you release Primeshot from any claims arising out of your voluntary participation in the Services, including your decision to be photographed at a public or semi-public Event, except for claims arising from our gross negligence or willful misconduct.

15. Indemnification

You agree to indemnify and hold harmless Primeshot and its officers, employees, and contractors from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of your misuse of the Services, your violation of these Terms, or your breach of any representation you make here, including a false representation that you are 18 or that you are authorized to consent on behalf of a Minor.

16. Disclaimers

The Services are provided "as is" and "as available." We do not guarantee that every attendee will be photographed, that every photo will be matched, or that delivery will be error-free or instant. We disclaim all warranties to the maximum extent permitted by law.

17. Limitation of Liability

To the maximum extent permitted by law:

  • - We are not liable for indirect, incidental, special, or consequential damages.
  • - Our total liability for any claim is limited to the greater of the amount you paid us for the Services in the twelve months preceding the claim, or one hundred U.S. dollars ($100).

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

18. Dispute Resolution and Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.

19. Changes to These Terms

We may modify these Terms at any time. We will notify users of material changes and post the updated Terms with a revised "Last Updated" date. Continued use of the Services after changes take effect constitutes acceptance.
